After negotiating with the seller of the business, you have agreed on the purchase price and the terms that belong to a proposed transaction. What then?<\/p>\n\n\n\n<p>As a buyer, it is very important to take the opportunity in a book review (Due Diligence) to look \u2018below the surface\u2019, thoroughly analysing the financial, tax, commercial and employment law aspects of the business. This helps to avoid unpleasant surprises and ensures a transaction with well-considered decision-making.<\/p>\n\n\n\n<p>In a Due Diligence you can ask questions such as: which collective labour agreement is the company affiliated to and is this the right one? Have all VAT returns been submitted on time? Are there contracts with regular customers and what turnover does this guarantee the company annually?<\/p>\n\n\n\n<p>We compile our findings in a clear report and provide you with a summary of the main findings (risks) involved in a possible purchase of the company you intend to buy. In a few cases, a buyer abandons the proposed transaction because of the Due Diligence. This shows the importance of a thorough investigation.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<p><strong>Software Virtual Vaults<\/strong><br>Typically, we use Virtual Vaults' software. The information is presented by the seller in a virtual (online) data room. Here, we can view all the information and ask questions about the documents.
