This article distinguishes between strategic parties and investment firms (\u201cprivate equity\u201d).<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Strategic partners<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Strategic parties generally operate in the same sector as the company they wish to buy or sell. This may involve exactly the same products or services, but it may also involve an expansion of the product or service range. Yet another option is, for example, vertical integration, whereby activities are expanded within the supply chain. If a company possesses unique knowledge, expertise, potential synergy benefits and\/or contracts, a strategic party is often willing to pay a premium for these. The advantages of strategic candidates as buyers are:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Opportunities to realise synergy benefits;<\/li>\n\n\n\n<li>Opportunities to increase market share;<\/li>\n\n\n\n<li>Expansion of the product range;<\/li>\n\n\n\n<li>Familiarity with the business;<\/li>\n\n\n\n<li>Long-term vision.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Disadvantages may include the fact that decision-making processes within strategic parties are often lengthy, that they generally wish to acquire only 100% of the shares, and that the sharing of information may be commercially sensitive. In the latter case, it is possible to conduct the due diligence in two phases: first, the legal, financial, HR and tax information, and subsequently the contracts with customers and specific pricing agreements.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Private equity firms<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Private equity firms are organisations that use their funds \u2013 often raised from private investors and pension funds \u2013 to invest in companies. They are generally on the lookout for profitable companies with growth potential. They can allow these companies to flourish for a number of years, before subsequently selling them on. The advantages of private equity firms are:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Generally more enterprising and capable of developing potential in collaboration with senior management;<\/li>\n\n\n\n<li>The option to sell part of the business, after which the entrepreneur can share in the future growth (a \u201cpre-exit\u201d);<\/li>\n\n\n\n<li>Achieving growth through a \u201cbuy and build\u201d strategy;<\/li>\n\n\n\n<li>Faster process;<\/li>\n\n\n\n<li>Greater flexibility in the transaction structure (from a minority to a majority stake);<\/li>\n\n\n\n<li>No competitor.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">One drawback may be that a private equity firm is not always fully familiar with the sector in which the company operates. For this reason, they often want the current management team to remain in place. Private equity offers little or no synergy benefits, and as a result, purchase prices may end up being lower than those offered by strategic buyers. In the current market, there is a great deal of investment capital available, which means that the purchase prices offered by private equity firms are competitive with those offered by strategic buyers.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is important to discuss with your adviser which type of party is preferable.
